Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and GHJM LLC, doing business as GHJM Core, concerning your access to and use of our website www.ghjmcore.lol and our professional services. Services Description

GHJM Core provides professional computer systems design and related technical services, including but not limited to:

Eligibility

By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into binding contracts. If you are accessing our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

User Obligations

When using our website and services, you agree to:

• Notify us immediately of any unauthorized access or security breach
• Use our services only for lawful purposes and in accordance with these Terms

Client Intellectual Property

Clients retain all rights to their pre-existing intellectual property. Any intellectual property developed specifically for a client under a service agreement will be addressed in that agreement. Unless otherwise specified in writing, GHJM Core retains ownership of methodologies, tools, and general knowledge developed in the course of providing services.

License to Use Website

We grant you a limited, non-exclusive, non-transferable license to access and use our website for informational purposes. This license does not include any right to reproduce, distribute, modify, or create derivative works from our content without our express written permission.

Service Agreements and Statements of Work

Professional services provided by GHJM Core are governed by separate written agreements, which may include:

• Master Service Agreements
• Statements of Work
• Project proposals and contracts
• Service Level Agreements

In the event of any conflict between these Terms of Service and a separate written agreement, the terms of the separate agreement shall prevail with respect to the services covered by that agreement.

Fees and Payment

Fees for professional services will be specified in the applicable service agreement or statement of work. Unless otherwise agreed in writing:

• Invoices are due within 30 days of the invoice date
• Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
• We reserve the right to suspend services for accounts with overdue balances
• All fees are non-refundable unless otherwise specified in the service agreement
• Client is responsible for all taxes, duties, and other governmental charges

Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of our business relationship. Each party agrees to:

• Maintain the confidentiality of the other party's confidential information
• Use confidential information only for the purposes of the business relationship
• Not disclose confidential information to third parties without prior written consent
• Return or destroy confidential information upon request or termination of the relationship

Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties.

Warranties and Disclaimers

Professional Services Warranty

We warrant that our professional services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties related to deliverables will be detailed in the applicable service agreement.

Website Disclaimer

Our website and its content are provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the website, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the maximum extent permitted by law, GHJM LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to these Terms or our services, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you to GHJM Core in the twelve months preceding the event giving rise to the claim, or one thousand dollars, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless GHJM LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or related to:

• Your violation of these Terms
• Your use of our services
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations

Term and Termination

These Terms remain in effect while you use our website or services. We reserve the right to suspend or terminate your access to our website or services at any time, with or without cause or notice, for any reason including violation of these Terms.

Termination provisions for professional services will be specified in the applicable service agreement. Upon termination:

• All outstanding fees become immediately due and payable
• Each party must return or destroy the other party's confidential information
• Provisions that by their nature should survive termination shall survive, including confidentiality, intellectual property, limitation of liability, and indemnification provisions

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

Assignment

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
